⚠️ Confidential | AI Nexus Board Only | Not Publicly Listed

Draft board policy prepared 29-Oct-2026. It carries the operational expectations removed from the lean bylaws (former Sections 3.4 and 3.6 of the full draft). Adopted and amended by simple majority of the Board.

Board Expectations Policy

Adopted by Board resolution on [DATE].

1. Purpose

This policy states what Silicon Valley AI Nexus Inc. expects of each director, and how the Board reviews directors before annual re-election under Section 3.4 of the Bylaws.

2. Expectations of Each Director

  1. Forum organizing. Contribute materially to organizing at least one-third of the Corporation’s forums each year (roughly four to five forums at the current cadence of twelve to fifteen). Organizing includes any of: setting the theme, securing speakers, arranging the venue and logistics, arranging food and beverage, preparing announcements, managing registration, supporting on-site operations, or post-event follow-up.
  2. Meetings. Attend at least 80% of Board meetings, in person or remotely, and respond to time-sensitive Board matters within 48 hours.
  3. Representation. Represent AI Nexus professionally, promote its forums and initiatives, and facilitate introductions that advance its mission.
  4. Fiduciary duties. Act in good faith and in the Corporation’s best interests, disclose conflicts promptly, and keep confidential matters confidential.

3. Annual Review

Before the annual election, the Chair coordinates a review of each director’s performance against Section 2 for the preceding year. The review is documented and kept with the Corporation’s records. Based on it, the Board may:

  • re-elect the director for a new one-year term;
  • re-elect conditionally, with specific improvements requested within a remediation period not exceeding 90 days;
  • decline to re-elect, in which case service ends at the expiration of the current term; or
  • initiate removal under Section 3.6 of the Bylaws where the failures warrant it.

4. Amendment

The Board may amend this policy by majority vote at any meeting.
